Azomland – Terms & Conditions

1. Acceptance of These Terms

By accessing Azomland (the "Platform"), purchasing a membership, submitting a project, or otherwise making use of any service provided by Azomland LLC ("Azomland", "we", "our", or "us"), you ("you" or "User") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Platform. Use of the Platform constitutes a legally binding contract between you and Azomland.

2. Nature of the Platform

Azomland operates an online marketplace providing two primary services: (a) connecting developers or project owners in Latin America who wish to list and sell fully or partially completed software products ("Sellers") with (b) individuals or entities primarily located in the United States who wish to acquire such products ("Buyers"), and (c) providing a directory service ("Developer Directory") where LATAM developers can create profiles to be discovered by potential clients for hiring purposes. Azomland is not a broker‑dealer, escrow agent, investment adviser, employment agency, nor a party to any eventual sales transaction or employment relationship. We simply facilitate discovery, communications, and—if expressly agreed—payment processing.

3. Membership & Fees

(a) Buy‑side Access Fee. Entry to the private project listing area and Developer Directory (including the Telegram/Signal/Discord channels, or any other notification mechanism we deploy) requires a one‑time, non‑refundable payment ("Access Fee"). During our beta phase, the Access Fee isUSD 20.00. The regular price is USD 499.00 and may be reinstated at any time, at Azomland"s sole discretion.
(b)Developer Directory Listing Fee. LATAM developers may pay a monthly fee of USD 20.00 to be featured in the Developer Directory. This fee grants visibility to potential clients but does not guarantee any work, contracts, or employment opportunities.
(c)No Refunds. All fees are earned on receipt. You acknowledge and agree that the Access Fee grants you the right to view listings and developer profiles; it does not constitute the purchase of any software asset, equity, license, or employment guarantee.
(d)Marketplace Commission. Upon the successful sale of a project: Azomland collects a 2 % fee from the Seller and a 2 % fee from the Buyer on the gross purchase price. Azomland may withhold taxes or other applicable levies as required by law.

4. Seller Representations

Sellers affirm that (i) they are the sole legal owner of the listed code, domains, databases, and any related intellectual property; (ii) all information provided is accurate, complete, and not misleading; (iii) the code does not infringe or misappropriate any third‑party rights; and (iv) they have full power and authority to transfer the assets free and clear of any lien, claim, or encumbrance.

5. Buyer Responsibilities

Buyers acknowledge that all purchases are "AS IS". Buyers are solely responsible for performing technical, legal, and business due diligence. Azomland offers no warranty regarding the performance, security, maintainability, or fitness for any particular purpose of the acquired code.

6. Developer Directory - Employment Disclaimer

AZOMLAND IS NOT AN EMPLOYMENT AGENCY OR RECRUITMENT FIRM. The Developer Directory is a listing service only. Azomland does not: (a) verify employment eligibility, work authorization, or legal right to work in any jurisdiction; (b) conduct background checks, reference verification, or skill assessments; (c) guarantee the accuracy of developer profiles, portfolios, or claims; (d) mediate disputes between clients and developers; (e) provide any warranty regarding developer performance, deliverables, or professional conduct.

7. Employment Relationship Disclaimer

NO EMPLOYMENT RELATIONSHIP EXISTS between Azomland and any developer listed in the Directory, nor between Azomland and any client who hires such developers. All employment relationships, contracts, payments, tax obligations, and legal responsibilities are solely between the hiring party and the developer. Azomland is not responsible for: (a) contract disputes, non-payment, or breach of agreement; (b) work quality, missed deadlines, or project failures; (c) intellectual property disputes arising from hired work; (d) tax implications, work authorization, or legal compliance; (e) any damages, losses, or liabilities arising from employment relationships facilitated through the Directory.

8. Payment Processing

Payments are processed via Stripe, Inc. ("Stripe"). By transacting on the Platform you also agree to Stripe"s Services Agreement and Privacy Policy. Azomland is not liable for delays, holds, charge‑backs, or any other Stripe‑related events.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AZOMLAND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF AZOMLAND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AZOMLAND"S AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES ACTUALLY RECEIVED BY AZOMLAND FROM YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Azomland and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys" fees) arising out of or connected with your use of the Platform, your breach of these Terms, your violation of any law or the rights of a third party, or any employment relationship or hiring transaction facilitated through the Developer Directory.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict‑of‑laws provisions. Any dispute arising out of or in connection with these Terms shall be resolved by binding arbitration administered by the American Arbitration Association in Wilmington, Delaware. Class‑action suits and jury trials are expressly waived.

12. Modifications

Azomland may modify these Terms at any time. Updated Terms become effective immediately upon posting. Continued use constitutes acceptance of the revised Terms.
